Service Agreement (Terms and Conditions)

1. Scope

These Service Agreement govern the contractual relationship between mezzalyn, hereinafter referred to as the “Provider,” and the customer, hereinafter referred to as the “Customer.” The Service Agreement apply to all offers and services related to building biology consulting and sustainable construction projects. These conditions also apply to future transactions without requiring renewed consent.

2. Subject of the Contract (Service Agreement)

The Provider offers a variety of services in the field of building biology aimed at creating healthy, sustainable, and ecological living environments. The services include, but are not limited to:

  • Material selection and evaluation

  • On-site appointment to discuss project requirements

  • Support in choosing furniture, carpets, and other furnishings for furnished units
    Note: If indoor air measurements are requested, limit values refer to those defined in the Building Biology Measurement Standard.

  • All services of the Basic Package

  • Two on-site appointments for detailed analysis

  • Assistance in material procurement

  • Detailed indoor climate analysis (excluding measurements)

Services:

  • Full consultation for complex residential construction projects

  • All services of the Standard Package

  • Unlimited on-site appointments

  • Individual project support

  • Network referrals to architects and construction companies

  • Advice on optimal interior design to increase property value
    Price: €3800

Custom Package:
For: Special construction projects (e.g., commercial buildings, senior living)
Services: Tailored solutions, prices upon request.

3. Conclusion of Contract 

The contract between Provider and Customer is concluded by the Customer’s acceptance of the Provider’s written offer. By clicking “Order,” the Customer agrees to these Service Agreement. The Provider will contact the Customer within three business days to arrange an appointment. Alternatively, the Customer can book an appointment via the provided online calendar (e.g., Calendly). It is important that the Provider is in contact with the project decision-maker.

4. Prices and Payment Terms (Service Agreement)

  • All prices are exclusive of statutory VAT.

  • Payment for the services is to be made in advance. The Provider will start delivering services immediately upon receipt of payment and appointment confirmation.

  • Invoices are payable immediately upon receipt without deductions unless otherwise agreed.

5. Hourly Rate

For additional services beyond the chosen package scope, the following hourly rates apply:

  • Basic Package: €120 per hour

  • Standard Package: €120 per hour

  • Premium Package: €120 per hour

The Customer will be informed in advance about the expected time required and must approve before additional hours are billed.

6. Indoor Air Quality Measurement

If the Customer requests indoor air quality measurement, this includes volatile and semi-volatile pollutants, radon gas, particulate measurements, and mold.
A separate flat fee for the air quality measurement will be agreed upon prior to the measurement and must be paid in advance.

7. Service Period (Service Agreement)

The services specified in the contract will be provided within the agreed timeframe. After the appointment, the Provider will prepare a meeting protocol documenting all discussed details. The contract is considered fulfilled when the Provider has sent or handed over the report to the Customer. For questions about the report, the Provider will provide free support for up to 14 days after delivery.

8. Documents and Termination of Contract

If the Customer refuses to provide important documents necessary for the assessment of a healthy living environment, the Provider reserves the right to terminate the contract. In this case, the already paid price for the booked service will be retained.

9. Return Travel and Travel Expenses

The Customer agrees to cover return travel expenses for assignments outside Lisbon or Portugal, based on the same standard as the initial travel.
For assignments outside Portugal, the Customer shall cover travel, transfer, and rental car costs as outlined above.

10. Cancellation and Withdrawal

The Provider reserves the right to terminate the contract for good cause, especially in cases of violations of these Service Agreement. The Customer will be informed immediately, and already provided services will be invoiced.

11. Liability (Service Agreement)

The Provider is liable for damages caused by gross negligence or intent. Liability for slight negligence is limited to typically foreseeable damages, unless injury to life, body, or health occurs.
The Provider is not liable for damages outside the scope of the contractual services.

12. Confidentiality and Data Protection (Service Agreement)

The Provider commits to treat all information received during consulting confidentially and not to disclose it to third parties without explicit Customer consent.
Data exchange is conducted via Proton, a secure Swiss cloud meeting all data protection requirements.
The Provider is willing to sign a Non-Disclosure Agreement (NDA) if it relates to the project and includes a defined timeframe.

13. Final Provisions

Changes and additions to these Service Agreement require written form. Oral side agreements do not exist.
The law of the Republic of Portugal applies. Jurisdiction is Lisbon.

14. Severability Clause

Should any provision of these Service Agreement be invalid or unenforceable, the validity of the remaining provisions remains unaffected. The statutory regulations shall replace the invalid provision.

15. Legal Effectiveness

These Service Agreement come into effect on 01.01.2025 and replace all previous Service Agreement of the Provider.
